You acknowledge and agree that – except as explicitly outlined in these Terms & Conditions – IRTronix, Inc. retain all rights, title, and interest, including the Intellectual Property Rights, in and to the website. You also acknowledge and agree that you do not acquire any rights therein, express or implied, except for the rights expressly granted under these Terms & Conditions. 

2. You are explicitly not allowed to download, copy, amend, make available, or provide otherwise (parts of) the Website or other materials made available to you by means of the Website, for direct or indirect commercial purposes or for any other purposes than the purposes mentioned in these Terms & Conditions. Unless IRTronix, Inc. has provided its prior written consent to it, or if a mandatory or the absolute rule of law states otherwise.

3. In the event IRTronix, Inc. provides third-party software or services, the (license) terms and conditions of that third party may apply to any use of such software or services. User guarantees that it will accept and will comply with these third party's terms and conditions. IRTronix, Inc. is no party to such an agreement.

MINIMUM ADVERTISED PRICE (MAP) POLICY

IRTronix, Inc. is focused on maintaining high margins for our Resellers network.  In recognition of the investment in time and resources required for our Resellers to provide the level of customer service and product knowledge expected from our customers, IRTronix, Inc. is committed to enforcing policies which allow our resellers to maintain high profit margins through the sale of our products.  IRTronix, Inc. has an established Minimum Advertised Price (MAP) Policy that an Authorized Reseller must follow for the advertising and marketing of IRTronix, Inc. products. All IRTronix, Inc. Authorized Resellers must agree to the terms and conditions of the following MAP Policy. MAP applies only to minimum advertised prices and does not apply to the price at which the products are actually sold, or to advertised prices higher than the unilateral minimum resale prices established by IRTronix, Inc. from time to time.

 

IRTRONIX, INC. MAP POLICY GUIDELINES

MAP pricing for all IRTronix, Inc. products can be found on your current price list. All advertised prices must be at or above MAP for all IRTronix, Inc. products. Resellers are not required to list prices in advertising.  If a price is listed in an advertisement, it must be at or above MAP. Other statements such as “call for price” or “call for quote” are acceptable and permitted.

Resellers are free to set the actual resale price of any product as long as it is at or above MAP price given the most recent publication of the price list. IRTronix, Inc. MAP policy for all IRTronix, Inc. products apply to advertising placements, including but not limited to: print ads (inserts, magazines, newspapers, catalogues, mail order catalogues, etc.), broadcast (radio and TV), direct mail, faxes, internet placement with third parties (banner ads, broadcast emails, destination pages, third-party sites), internet placements on resellers own website, and any flyers, posters or coupons.

From time to time, IRTronix, Inc. may permit resellers to advertise MAP Products at prices lower than the MAP price. In such events, IRTronix, Inc. reserves the right to modify or suspend the MAP price with respect to the affected products for a specified period of time by providing advance notice to all resellers of such changes.

 

ALL IRTRONIX, INC. PRODUCTS PRICE MATCHING POLICIES

Price matching policies are acceptable.  Price matching cannot be used as a valid reason for violations of IRTronix, Inc. MAP Policy. Advertised price must always be at MAP or higher.

FAILURE TO COMPLY WITH THE MAP POLICY

At the sole discretion of IRTronix, Inc., failure to comply with MAP, intentional and/or repeated failure to abide, may result in the immediate loss of Reseller status and your ability to purchase all IRTronix, Inc. products both direct as well as through distribution. IRTronix, Inc. will not accept any communication from resellers who have violated this MAP policy regarding the violation or the willingness of reseller to bring its prices into compliance with the MAP policy.

 

IRTRONIX, INC. WILL UTILZE THE FOLLOWING STEPS TO RESOLVE MAP VIOLATIONS: 

Any and all dealers selling IRTronix, Inc. products which have not signed an IRTronix, Inc. MAP Policy agreement are classified as Unauthorized Resellers.

IRTronix, Inc., reserves the right to rescind all authorized dealer rights and privileges at any time.

Distributors of IRTronix, Inc. are required to provide a signed MAP agreement from any dealer selling IRTronix, Inc. products. Unauthorized dealers should not be sold to or provided a feed from any distributor whatsoever.

IRTronix, Inc.'s sales personnel have no authority to modify or grant exceptions to this policy or have any communications with any reseller regarding violations of this MAP policy. 

 

CHANGE TO MAP POLICY: 

IRTronix, Inc. reserves the right at any time to modify, suspend, or discontinue the MAP policy in whole or in part at any period in time at our sole discretion. We may also designate promotional periods during which the terms and policy change or designate periods of time during which the policy is not applicable. 

IRTronix, Inc. places great value on the efforts of all resellers to represent our products and support their customers. Our MAP policy is intended to encourage competition for the sale of IRTronix, Inc. products in a manner that is consistent with the long-term interests of our customers.
